Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Loupe Intel LLC ("Loupe Intel," "we," "our," or "us"). By accessing or using Loupe Intel at loupeintel.ai or any associated platform, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Description of Service

Loupe Intel is an AI-powered sales intelligence platform that provides account research, threat and market intelligence, regulatory analysis, personalized outreach generation, and methodology-based call scripts for sales professionals. The service is built for sales teams across all industries.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use Loupe Intel. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it current.

3. Intellectual Property Rights

Loupe Intel and all of its components — including but not limited to the methodology selection engine, email generation system, call script framework, intelligence aggregation logic, account research pipeline, environment builder, and all associated software, designs, and content — are the exclusive proprietary property of Loupe Intel LLC and are protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, reverse engineer, decompile, disassemble, or create derivative works based on Loupe Intel or any of its components without express written permission. All rights not expressly granted are reserved.

4. License Grant

Subject to your compliance with these Terms and timely payment of all applicable fees, Loupe Intel grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the service solely for your internal business purposes. This license does not include the right to resell or commercialize the service, to create competitive products based on the service, or to use the service in any way that violates these Terms.

5. Trials, Subscriptions, and Payment

Loupe Intel may offer free trials with a limited number of account researches. Trial access is granted at our discretion and may be modified or revoked at any time. Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days notice. Failure to pay may result in suspension or termination of your account. You are responsible for all taxes applicable to your subscription.

6. Acceptable Use

You agree not to use Loupe Intel to violate any applicable law or regulation; infringe any intellectual property rights; transmit harmful, offensive, or fraudulent content; attempt to gain unauthorized access to any system or network; use the service to build a competing product; share your account credentials with unauthorized parties; or scrape, harvest, or extract data from the platform in bulk using automated means.

7. Research Output and Your Responsibility

Research outputs, emails, call scripts, and other content generated by Loupe Intel are compiled from publicly available information and are provided for informational purposes only. You are solely responsible for how you use this content in your sales activities, including compliance with applicable communications, marketing, and anti-spam laws. Loupe Intel makes no warranties about the accuracy, completeness, or reliability of any research output. You should independently verify all information before relying on it for business decisions.

8. Third-Party Services

Loupe Intel relies on third-party services including our AI provider, Supabase, and Vercel. Your use of the service through these providers is subject to their respective terms. Loupe Intel is not responsible for the availability, accuracy, or practices of third-party services. If you provide your own third-party credentials (such as your own API key), you represent that you are authorized to use them and that your use complies with the applicable third-party terms.

9. White-Label Deployments

Customers who deploy Loupe Intel as a white-label solution for their own teams or clients must ensure those users are bound by terms no less protective of Loupe Intel's intellectual property than these Terms. You remain responsible for your users' compliance. You may not represent that you own the underlying technology.

10. Confidentiality

You agree to keep confidential any non-public information about Loupe Intel's technology, business, or operations that you learn through your use of the service. This obligation survives termination of your subscription.

11. Termination

Either party may terminate the subscription at any time. Loupe Intel may suspend or terminate your access immediately if you breach these Terms, fail to pay, or engage in conduct we determine to be harmful to the platform or other users. Upon termination, your license to use the service ends immediately.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. LOUPE INTEL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT RESEARCH OUTPUTS WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOUPE INTEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO LOUPE INTEL IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Loupe Intel LLC and its officers, members, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Georgia, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide 30 days notice of material changes via email or in-app notification. Your continued use of the service after changes take effect constitutes acceptance of the new Terms.
